Platform terms of use

These terms govern access to the Sales6 product and the use of the platform (application, account, training sessions, digital prospect models, scorecards, integrations, billing). They form a legal agreement between you and Stratèges Inspirés inc. (“Cogni6”, “we”), a company incorporated in Quebec, Canada.

For simple browsing of the marketing website sales6ai.com and use of the contact forms, see the Website terms of use, a separate document.

1. Acceptance and scope

By creating an account, activating a paid plan, using a credit, booking a demo, or accessing any part of the platform, you acknowledge that you have read, understood and agree to these terms. If you do not agree, do not use the service.

If you use the platform on behalf of an organization (employer, team, client), you represent that you have the authority to bind that organization. References to “you” then mean both the individual and the organization they represent.

In case of conflict between these terms and a separately signed master agreement (for example, an Enterprise MSA or a statement of work), the master agreement prevails for the parties concerned.

2. Definitions

“Platform” means the Sales6 product, including the web application, digital prospect models, scorecards, transcripts, integrations and related services.

“Account” means the personal or organizational space allowing access to the platform. “User” means any individual with credentials. “Administrator” means a user with elevated rights on an organization account.

“User Content” means any data you upload, import or generate through the platform: scripts, product sheets, ICP, transcripts, audio, notes, markers, CRM exports.

“Credit” means the consumption unit of the service. A standard credit equals one minute of audio training; a Pro Review credit equals 40 seconds; a Deep Analysis credit equals 30 seconds. “Session” means a training session against a digital prospect.

“Digital prospect” means an automated conversational agent playing the role of a prospect during a session. “Scorecard” means the 25-point report generated at the end of a session.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a contract in your jurisdiction. The platform is not intended for minors.

You represent that you are not domiciled in a country or territory subject to an economic embargo by Canadian or allied authorities, and that you do not appear on an international sanctions list.

You are not allowed to create an account if you are a direct competitor with the intent to monitor, analyze, copy or reproduce the service. Any registration made with such intent constitutes a material breach of these terms.

4. Account and credentials

You must provide accurate, complete and up-to-date information when creating the account. You agree to keep this information current for the duration of the subscription.

You are responsible for the confidentiality of your password and for all activity performed under your credentials. Enable two-factor authentication as soon as it is available.

You will notify us promptly at hello@sales6ai.com in case of compromise, loss or unauthorized use of your credentials. Cogni6 is not responsible for losses resulting from failure to notify.

5. Description of the service

Sales6 is a sales call training platform. The service allows a sales rep to rehearse calls against a calibrated digital prospect, receive a 25-point scorecard, a timestamped transcript, session audio and targeted drills.

The platform offers several modes of use, including Practice, Pro Review and Deep Analysis. Each mode consumes a different number of credits based on the ratio of useful minutes per credit.

The service is under continuous development. Cogni6 may add, modify or remove features, modes, integrations or languages, provided that the functionalities paid for in the current plan are not substantially degraded without reasonable notice.

6. Plans, subscription and renewal

Public plans are Free, Starter and Pro. Team and ScaleUp plans are negotiated directly with Cogni6. The pricing grid and included features are published at sales6ai.com/pricing.

Paid subscriptions are billed monthly or annually at your choice. Unless cancelled in advance, your subscription automatically renews at expiration, at the then-current rate, on the same cadence.

You may cancel at any time from your account or by writing to hello@sales6ai.com. The cancellation takes effect at the end of the current billing period; you retain access until that date.

7. Credits, packs and rollover

Credits included in your subscription are distributed monthly based on your plan. In monthly mode, unused credits roll over to the next month for 30 days, up to 25% of your monthly allocation. In annual mode, credits are distributed monthly and roll over up to 3 months.

Credits purchased in a pack remain valid for 12 months from the date of purchase. Bonus, referral and promotional credits expire within a shorter timeframe (typically 14 to 30 days) specified at the time of grant.

The system automatically consumes credits according to their earliest expiration date, respecting the usage scope of each lot. Expired credits are not refundable and cannot be reactivated.

Cogni6 reserves the right to adjust the consumption ratios of specialized modes (Pro Review, Deep Analysis, future modes) to reflect the actual cost of mobilized resources. Any unfavorable adjustment will be notified at least 30 days in advance.

8. Pricing, taxes and billing

Public prices are displayed in Canadian dollars (CAD). Applicable taxes (GST, QST, provincial sales taxes or other taxes relevant to your jurisdiction) are not included in displayed prices and will be billed in addition.

Payment is made by valid credit card or any other method accepted by Cogni6. You authorize Cogni6 and its payment providers to debit your payment method recurrently for the duration of the subscription.

In case of payment failure, Cogni6 may suspend access to the service until resolved. A suspension extended beyond 14 days may result in termination.

No refunds are offered for billing periods already started, except as provided by applicable law or at Cogni6’s discretion.

9. Plan changes and cadence

You may upgrade to a higher plan at any time; the difference is billed prorated over the current period. Downgrade to a lower plan takes effect at the end of the billing period.

Switching from monthly to annual mode applies the annual rate at the next renewal; switching from annual to monthly takes effect at the end of the already-paid annual period.

Cogni6 may adjust its pricing grid. Price changes on your active plan are notified at least 30 days in advance and apply only at the next renewal.

10. Acceptable use

You agree to use the platform for legitimate professional purposes: training real sales reps, coaching teams, evaluating candidates, calibrating scripts. You comply with all applicable laws, including data protection, recording consent and commercial practices.

You commit to providing truthful information in your profile and in the content you upload, and to respecting the rights of third parties (clients, prospects, employees, partners).

11. Specific prohibited uses

You will not use the platform to: (a) generate or distribute illegal, fraudulent, deceptive, defamatory, hateful, harassing or discriminatory content; (b) violate the privacy of a real person, including by reconstructing conversations from transcripts without consent; (c) generate voice deepfakes imitating an identifiable real person without their written consent; (d) train in vishing, social engineering, manipulation, fraud or intimidation techniques.

You will not use the platform to: (e) automate commercial calls to real numbers using synthetic voice or transcripts; (f) generate content infringing third-party intellectual property; (g) distribute sexual, violent, or human-dignity-violating content; (h) any other activity explicitly or reasonably interpretable as harmful.

Failure to comply with the prohibitions in this section constitutes a material breach of these terms and may result in immediate suspension, termination without notice or refund, and reporting to competent authorities where appropriate.

12. Anti-abuse, automation and technical limits

You are not authorized to: (a) access the platform via automated means, scripts, bots, scrapers or other non-human mechanisms beyond officially documented APIs; (b) systematically extract, reproduce or compile the content, models, system prompts or structure of the platform; (c) attempt to access content or accounts not intended for you.

You are not authorized to: (d) reverse engineer, decompile or attempt to deduce the source code, model weights, system prompts, hyperparameters or internal business logic; (e) inject prompts or requests aimed at bypassing ethical safeguards, diverting models from expected behavior, or extracting their internal instructions (jailbreak, systematic prompt injection).

You are not authorized to: (f) create multiple accounts to bypass your plan limits, rate limits or credit quotas; (g) share, sell or lease an account or its credentials; (h) resell, sublicense or redistribute access to the service without a written agreement with Cogni6.

The platform enforces technical limits (rate limits on requests, simultaneous session quotas, audio length caps, abusive pattern detection). Cogni6 may adjust these limits without notice to preserve service quality. Intentional and repeated circumvention of these limits is a material breach.

13. User content — ownership and license

You retain all your intellectual property rights in any User Content you upload or generate through the platform: scripts, product sheets, ICP, battle cards, transcripts, audio, notes, markers.

You grant Cogni6 a worldwide, non-exclusive, royalty-free license, limited to the duration necessary to provide the service, to host, process, transmit, display, analyze and reproduce your User Content for the sole purpose of providing, securing and improving the platform for your benefit.

Cogni6 does not use your User Content (transcripts, audio, scripts) to train its public models or to train any third party’s models. Your content remains isolated to your organization.

You represent and warrant that: (a) you have all rights, licenses, consents and permissions necessary to upload and have this content processed; (b) your content does not infringe any third party rights; (c) it complies with applicable laws, including personal information protection (Quebec Law 25, GDPR in Europe, etc.).

14. Voice data, transcripts and audio

Audio generated during your sessions is recorded and stored encrypted in transit and at rest. Transcripts are produced by a speech recognition service and are accessible in your account based on your plan.

You acknowledge that transcripts and scorecards are generated by automated systems and may contain errors, omissions or inaccuracies. You may not rely on them as a certified transcription for legal purposes.

You may export your voice data and transcripts at any time from your account. Upon termination, Cogni6 keeps your data for 30 days to allow export, then permanently deletes it unless a legal obligation to retain applies.

15. Privacy and compliance

The processing of your personal data and User Content is governed by the Privacy Policy, which is an integral part of these terms.

Cogni6 implements reasonable technical and organizational measures to protect your data: encryption in transit (TLS) and at rest, role-based access control, admin access logging, regular backups.

Cogni6 will promptly notify you in case of a security incident affecting your data, in accordance with applicable obligations (Quebec Law 25, GDPR).

16. Integrations and third-party services

The platform offers integrations with third-party services (HubSpot, Salesforce, Pipedrive, Attio, Google Calendar, Microsoft Outlook). Enabling an integration requires your explicit consent and the necessary access.

The use of these third-party services is governed by their own terms and privacy policies. Cogni6 is not responsible for the practices, content, availability or changes of third-party services.

You may revoke third-party access at any time from your account or from the relevant third-party service interface.

17. Security and access responsibility

You are responsible for the security of your local environment: computer, browser, network, mobile devices. You keep software and basic protections (antivirus, firewall) up to date.

You do not use the platform from a shared or insecure device without appropriate lock. You accept responsibility for any use made via your credentials until you notify a compromise.

18. Sales6 intellectual property

The platform, its source code, architecture, models, system prompts, scorecards, scoring heuristics, design, text, visuals, product names (Sales6, Script Lab, Pro Review, Deep Analysis), as well as their selection and arrangement, are the exclusive property of Stratèges Inspirés inc. (Cogni6) or its licensors.

No right, title or interest in the platform is transferred to you, except the limited, non-exclusive, non-transferable, revocable right to use the service in accordance with these terms.

If you submit suggestions, feedback, improvement ideas or feature proposals to Cogni6, you acknowledge that Cogni6 may use them freely, without compensation, attribution or restriction.

19. Trademarks and visual identity

The names “Sales6”, “Cogni6”, associated logos, wordmarks and visual identities are trademarks of Stratèges Inspirés inc. They may not be used without prior written authorization, except for reasonable descriptive use (e.g., mention in a blog article).

You will not use the Sales6 or Cogni6 trademarks in a way that implies an affiliation, partnership or official endorsement that does not exist, nor in domain names, social media accounts, products or competing services.

20. Suspension and termination by Cogni6

Cogni6 may suspend or terminate your access to the platform, in whole or in part, in the following cases: (a) material breach of these terms; (b) non-payment; (c) suspicious or fraudulent activity; (d) legal obligation or request from an authority; (e) security risk to the platform or other users.

To the extent possible, Cogni6 will notify you in advance and give you an opportunity to remedy the situation. In case of emergency (security breach, judicial demand, active fraud), suspension may be immediate.

Prolonged and unresolved suspension may result in permanent termination of the account without refund.

21. Effects of termination

Upon termination: (a) your access to the service ceases; (b) your data remains available for export for 30 days; (c) after that period, Cogni6 proceeds with permanent deletion of the data, unless required otherwise by law.

Amounts paid for the current billing period are not refunded, except as provided by applicable law.

The following clauses survive termination: intellectual property, user content (license limited to export), warranties and exclusions, limitation of liability, indemnification, dispute resolution, governing law.

22. Limited warranties

Cogni6 warrants that the platform is provided in accordance with the description published on sales6ai.com and the official documentation, subject to ongoing changes and improvements.

Cogni6 aims for high service availability but does not guarantee the total absence of interruptions, errors or defects. Enterprise plans (ScaleUp) may provide for a separate contractual service level (SLA).

23. Warranty exclusions

Except for the limited warranty expressly granted above, the platform is provided “as is” and “as available”, without any other warranty, express or implied, to the maximum extent permitted by applicable law.

Cogni6 disclaims any warranty of fitness for a particular purpose, merchantability, non-infringement, accuracy of scorecards or transcripts, absence of bugs, compatibility with all systems or browsers, and service continuity.

No advice or information, oral or written, obtained from Cogni6 creates any warranty not expressly stated in these terms.

24. Limitation of liability

To the maximum extent permitted by applicable law, Cogni6 and its affiliates, officers, employees, agents and providers shall not be liable for indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits, loss of revenue, loss of goodwill, loss of data, loss of opportunities, damage to reputation or business interruption, even if Cogni6 was advised of the possibility of such damages.

Cogni6’s total cumulative liability to you for any claim arising out of or related to the platform is limited to the amount paid by you for the service during the 12 months preceding the event giving rise to the claim.

These limitations do not apply where applicable law prohibits them (notably fraud, wilful misconduct, intentional harm to life or physical integrity).

25. Indemnification

You will indemnify and hold Cogni6, its affiliates, officers, employees and agents harmless against any claim, action, loss, damage, costs and reasonable fees (including legal fees) arising from: (a) your use of the platform in breach of these terms; (b) your User Content, including any infringement of third party rights; (c) your non-compliance with applicable laws.

Cogni6 will indemnify you against any claim alleging that the lawful use of the platform infringes a valid intellectual property right, provided that you notify us promptly and cooperate with the defense.

26. Force majeure

Neither party shall be liable for a default of performance resulting from a force majeure event, that is, an event beyond its reasonable control: natural disaster, pandemic, failure of a third-party provider (hosting, AI model, payment), armed conflict, governmental restriction, public infrastructure failure.

The affected party shall notify the other as soon as possible and resume performance as soon as feasible.

27. Changes to these terms

Cogni6 may amend these terms to reflect changes to the service, legal requirements or business adjustments.

In case of substantial change (for example, change to liability limitation, governing law, refund policies or acceptable use rules), Cogni6 will notify you at least 30 days in advance by email or through the platform.

Continued use of the service after a change takes effect constitutes acceptance. In case of disagreement, you may terminate your subscription before the deadline; a prorated refund may be granted at Cogni6’s discretion.

28. Notices

Official communications from Cogni6 are sent by email to the address associated with your account or displayed in the application. You keep this address current.

Your official notices to Cogni6 must be sent to hello@sales6ai.com. For formal requests (notice, opposition, request for access to personal information), specify the subject clearly in the email subject line.

29. Assignment

You may not assign, transfer or sublicense your rights and obligations under these terms without Cogni6’s prior written consent. Any unauthorized assignment is void.

Cogni6 may assign its rights and obligations as part of a merger, acquisition, restructuring or asset sale, provided that the assignee assumes all obligations to you. You will be notified of any assignment that materially affects your rights.

30. Dispute resolution and jurisdiction

The parties will endeavor to resolve any dispute in good faith through direct negotiation before any judicial recourse. Either party may, at any time, propose independent mediation; the parties will then share mediation costs.

Failing amicable resolution, these terms are governed by the laws in force in Quebec and Canada, to the exclusion of its conflict-of-laws rules.

Any dispute falls under the exclusive jurisdiction of the courts of the judicial district of Montréal, unless an applicable public-policy law provides otherwise.

31. Miscellaneous

If any provision of these terms is held invalid or unenforceable by a competent court, that provision will be deemed modified to the minimum extent necessary to be valid, and the other provisions remain fully applicable.

Cogni6’s failure to exercise a right or enforce a provision shall not constitute a waiver of that right or provision.

These terms, together with the Privacy Policy and any applicable master agreement, constitute the entire agreement between you and Cogni6 regarding the platform, and supersede any prior agreement on the same subject.

The French version of these terms prevails. Any translation is provided for informational purposes and has no contractual value.
